2. LICENSE GRANT

2.1 Software License

Subject to the terms of this Agreement, Odd Events LLC DBA SkeletonKey.Quest grants you a non-exclusive, non-transferable license to:

• Install and use the Software on your personal computers
• Create, modify, and export your own project files and data
• Use the Software for any lawful purpose

2.2 Restrictions

You may NOT:

• Reverse engineer, decompile, or disassemble the Proprietary Components
• Remove or modify any copyright notices, trademarks, or proprietary markings
• Redistribute, sell, or sublicense the Software or any portion thereof
• Use the Software to create competing timeline/knowledge management applications
• Extract or attempt to replicate the proprietary consistency-check algorithms

3. CLOUD SERVICES (OPTIONAL PAID FEATURES)

3.1 Service Description

Cloud Services include:

• Project synchronization and cloud storage
• Data encryption and backup services
• AI analysis capabilities using third-party APIs
• Advanced reporting and collaboration features

3.2 Subscription Terms

• Cloud Services require a separate paid subscription
• Free Software functionality remains available without subscription
• We reserve the right to modify service offerings and pricing
• Subscription terms are governed by our separate Terms of Service

4. INTELLECTUAL PROPERTY

4.1 Proprietary Rights

Odd Events LLC DBA SkeletonKey.Quest retains all rights, title, and interest in:

• The SkeletonKey name, trademarks, and brand identity
• Proprietary algorithms and consistency-check systems
• Software architecture and user interface design
• Documentation and marketing materials

4.2 User Content

You retain all rights to content you create using the Software, including:

• Timeline data and project files
• Knowledge base entries and relationships
• Maps, narratives, and exported materials
• Any derivative works based on your own data

5. PRIVACY AND DATA

5.1 Local Data Processing

The free version of the Software operates primarily on your local machine. We do not collect or store your project data unless you explicitly use Cloud Services.

5.2 Cloud Data Processing

When using Cloud Services, your data may be:

• Stored on secure cloud infrastructure
• Processed by third-party AI services (OpenAI, etc.)
• Subject to our Privacy Policy and third-party service terms

5.3 Analytics

We may collect anonymous usage analytics to improve the Software, including:

• Feature usage patterns
• Performance metrics
• Error reporting (without personal data)

6. USE CASE DISCLAIMER

6.1 Tool Neutrality

SkeletonKey is a general-purpose analysis and visualization tool. Odd Events LLC DBA SkeletonKey.Quest:

• Does not endorse any specific use case or application
• Is not responsible for how users choose to apply the Software
• Makes no warranties about the accuracy or completeness of user-generated content

6.2 User Responsibility

Users are solely responsible for:

• The legality and appropriateness of their use of the Software
• The accuracy of data they input and conclusions they draw
• Compliance with applicable laws and regulations in their jurisdiction
• Ethical considerations in their research and analysis work

7. WARRANTIES AND LIABILITY

Our total liability for any claims related to the Software shall not exceed the amount you paid for Cloud Services in the twelve months preceding the claim.

8. TERMINATION

8.1 Termination Rights

This license terminates automatically if you breach any terms. We may also terminate or suspend Cloud Services for violation of service terms.

8.2 Effect of Termination

Upon termination:

• Your right to use the Software ceases immediately
• You must cease all use and delete all copies of the Software
• Provisions regarding intellectual property, liability, and disputes survive termination

Full license texts for all open source components are available in the Software's installation directory under /licenses/ or by contacting [email protected].

Users redistributing or modifying open source components must comply with their respective license terms. The inclusion of these components does not grant any rights to redistribute the proprietary portions of the Software.

10. GOVERNING LAW

This Agreement is governed by the laws of the State of California, United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts of California.

11. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between you and Odd Events LLC DBA SkeletonKey.Quest regarding the Software and supersedes all prior agreements and understandings.

12. UPDATES AND MODIFICATIONS

We reserve the right to update this license agreement. Continued use of the Software after changes constitutes acceptance of the new terms. Material changes will be communicated through the Software or our website.
