1. ACCEPTANCE OF TERMS

By downloading, installing, accessing, or using SkeletonKey software or services, you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, do not use our services.

These Terms constitute a legally binding agreement between you and Odd Events LLC DBA SkeletonKey.Quest ("SkeletonKey," "we," "us," or "our"). Your use of our services is also governed by our Software License Agreement and Privacy Policy, which are incorporated by reference.

Important: If you are using SkeletonKey on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. SERVICE DESCRIPTION

SkeletonKey provides timeline visualization, knowledge management, and analysis tools designed to help users connect information, explore scenarios, and understand complex relationships across time and data.

2.1 Free Software

The core SkeletonKey desktop application is provided free of charge and includes:

  • Timeline editor and visualization tools
  • Knowledge base creation and management
  • Map editor for geographical and conceptual mapping
  • Import and export capabilities
  • Local data processing and storage

2.2 Premium Cloud Services

Optional paid cloud services include:

  • Cloud project synchronization and backup
  • Advanced AI analysis and generation capabilities
  • Enhanced collaboration and sharing features
  • Priority customer support
  • Web-based editor access

3. ELIGIBILITY

You must be at least 13 years old to use SkeletonKey services. If you are between 13 and 18 years old, you must have parental or guardian consent to use our services.

You must provide accurate and complete information when creating an account or subscribing to services. You are responsible for maintaining the confidentiality of your account credentials.

You represent that you have the legal capacity to enter into this agreement and that your use of our services will comply with all applicable laws and regulations.

4. USER ACCOUNTS

4.1 Account Creation

Cloud services require account registration. You must provide accurate, current, and complete information during registration and keep your account information updated.

4.2 Account Security

You are responsible for:

  • Maintaining the security of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access
  • Logging out of shared or public computers

4.3 Account Termination

You may delete your account at any time. We may suspend or terminate accounts that violate these Terms or for legitimate business reasons with appropriate notice.

5. CLOUD SERVICES

5.1 Service Availability

We strive to maintain high availability for cloud services but cannot guarantee 100% uptime. We may perform maintenance, updates, or experience service interruptions.

5.2 Data Storage and Backup

While we implement robust backup systems, you are responsible for maintaining your own backups of important data. We recommend regular exports of your projects.

5.3 AI Services

Our AI features utilize third-party services (including OpenAI). By using AI features, you acknowledge that:

  • Your data may be processed by third-party AI providers
  • AI-generated content should be reviewed for accuracy
  • We are not responsible for AI-generated content
  • Usage may be subject to third-party terms and limits

6. PAYMENT & BILLING

6.1 Subscription Plans

Cloud services are offered through subscription plans with monthly or annual billing cycles. Current pricing is available on our website.

6.2 Payment Terms

  • Subscriptions are billed in advance
  • All fees are non-refundable unless required by law
  • You authorize automatic renewal unless cancelled
  • We may change pricing with 30 days' notice

6.3 Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. You will retain access to paid features until that time.

6.4 Failed Payments

If payment fails, we may suspend your access to cloud services after reasonable retry attempts and notice. Your account will be reactivated upon successful payment.

7. ACCEPTABLE USE

7.1 Permitted Use

You may use SkeletonKey for any lawful purpose, including research, education, business analysis, project management, and personal knowledge organization.

7.2 Prohibited Activities

You may not:

  • Use our services for illegal activities or to violate others' rights
  • Attempt to reverse engineer, hack, or compromise our systems
  • Upload malicious code, viruses, or harmful content
  • Harass, threaten, or harm other users
  • Spam, distribute unsolicited communications, or engage in fraudulent activities
  • Violate intellectual property rights of others
  • Use our services to compete with us or create similar applications

7.3 Content Standards

While we don't monitor user content, you are responsible for ensuring your content complies with applicable laws and doesn't infringe others' rights.

8. USER CONTENT

8.1 Ownership

You retain all rights to content you create, upload, or store using SkeletonKey. We do not claim ownership of your data, projects, or intellectual property.

8.2 License to Us

To provide cloud services, you grant us a limited license to store, process, and transmit your content. This license:

  • Is limited to providing and improving our services
  • Does not grant us ownership rights
  • Terminates when you delete content or close your account
  • May include processing by third-party AI services when you use AI features

8.3 Content Responsibility

You are solely responsible for your content and its legality, accuracy, and appropriateness. We are not responsible for user-generated content or conclusions drawn from data analysis.

8.4 Content Removal

We may remove content that violates these Terms or applicable laws. We will provide notice when possible, but may act immediately for urgent situations.

9. PRIVACY & DATA

9.1 Privacy Policy

Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

9.2 Data Processing

For free software use, data processing occurs locally on your device. For cloud services, we process data as necessary to provide services, including:

  • Storing and synchronizing your projects
  • Providing AI analysis features
  • Generating backups and ensuring data integrity
  • Improving service quality and performance

9.3 Data Retention

We retain your data while your account is active and for a reasonable period after termination to allow account recovery. You may request data deletion at any time.

9.4 Data Security

We implement appropriate technical and organizational measures to protect your data, but cannot guarantee absolute security. You should maintain your own backups of important information.

10. THIRD-PARTY SERVICES

10.1 Integration Services

SkeletonKey integrates with third-party services, including:

  • OpenAI and other AI service providers
  • Cloud storage and infrastructure providers
  • Payment processing services
  • Analytics and performance monitoring tools

10.2 Third-Party Terms

Your use of third-party features may be subject to additional terms and conditions from those providers. We are not responsible for third-party services or their terms.

10.3 Service Changes

Third-party service availability and functionality may change without notice. We may need to modify or discontinue features that depend on third-party services.

11. SUSPENSION & TERMINATION

11.1 Termination by You

You may terminate your account and stop using our services at any time. Paid subscriptions will remain active until the end of the billing period.

11.2 Termination by Us

We may suspend or terminate your account if:

  • You violate these Terms or our policies
  • Your account remains inactive for extended periods
  • We discontinue services with appropriate notice
  • Required by law or legal process

11.3 Effect of Termination

Upon termination:

  • Your access to cloud services will cease
  • You should export any data you wish to retain
  • We may delete your data after a reasonable retention period
  • Provisions regarding liability, disputes, and intellectual property survive

12. DISCLAIMERS

12.1 Service Warranty Disclaimer

SKELETONKEY SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

12.2 Content Disclaimer

We do not endorse, warrant, or guarantee any user content, AI-generated content, or conclusions drawn from data analysis. Users are solely responsible for verifying information accuracy and appropriateness.

12.3 Availability Disclaimer

We do not guarantee continuous, uninterrupted, or error-free operation of our services. Services may be subject to limitations, delays, and other problems inherent in internet and electronic communications.

12.4 Third-Party Disclaimer

We are not responsible for the availability, accuracy, or reliability of third-party services, content, or websites linked to or integrated with SkeletonKey.

13. LIMITATION OF LIABILITY

13.1 Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SKELETONKEY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

13.2 Maximum Liability

Our total liability for any claims arising from or related to these Terms or our services shall not exceed the amount you paid us in the twelve (12) months preceding the claim, or $100, whichever is greater.

13.3 Exceptions

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability will be limited to the greatest extent permitted by law.

13.4 Time Limitation

Any claims against us must be brought within one (1) year after the cause of action arises, or such claim will be permanently barred.

14. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless SkeletonKey, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

  • Your use or misuse of our services
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Your content or data uploaded to our services
  • Your negligent or wrongful conduct

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with our defense of such claims.

15. MODIFICATIONS

15.1 Terms Updates

We may modify these Terms at any time. We will provide notice of material changes through our website, email, or within the application. Continued use after changes constitutes acceptance.

15.2 Service Changes

We may modify, suspend, or discontinue any aspect of our services at any time, with or without notice. We will provide reasonable advance notice for significant changes affecting paid services.

15.3 Pricing Changes

We may change subscription pricing at any time. Price changes for existing subscribers will take effect at the next billing cycle after thirty (30) days' notice.

16. GENERAL PROVISIONS

16.1 Governing Law

These Terms are governed by the laws of the State of California, United States, without regard to conflict of law principles. Any disputes will be resolved in the courts of California.

16.2 Dispute Resolution

Before filing any lawsuit, you agree to first contact us to attempt to resolve the dispute informally. Most concerns can be resolved quickly through direct communication.

16.3 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

16.4 Entire Agreement

These Terms, together with our Privacy Policy and Software License Agreement, constitute the entire agreement between you and SkeletonKey regarding our services.

16.5 Assignment

You may not assign or transfer these Terms or your account without our written consent. We may assign these Terms without restriction.

16.6 No Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce that provision in the future.
